1. Introduction

Welcome to Chalkly ("we," "our," or "us"). By downloading, accessing, or using our mobile application and services, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our app.

2. Definitions

• "App" refers to the Chalkly mobile application and all associated services.
• "User" refers to any individual who accesses or uses the App, including tutors, students, and parents.
• "Tutor" refers to a user who creates an account to manage students, track attendance, and provide educational services.
• "Student" refers to an individual whose data is managed within the App by a Tutor, typically accessing the App via access code.
• "Access Code" refers to the unique 6-digit code generated for each student to view their own data.
• "Content" refers to all information, data, text, images, and materials within the App.

3. Eligibility

By using Chalkly, you represent and warrant that:

• Age: You are at least 13 years of age. If you are between 13 and 18, you represent that your legal guardian has reviewed and agreed to these Terms.
• Authority: If you are using the App on behalf of an organization, you have the authority to bind that organization to these Terms.
• Compliance: Your use of the App will comply with all applicable laws and regulations.
• Account Information: All information you provide is accurate, current, and complete.

4. Account Registration

4.1 Tutor Accounts

Tutors must create an account using Google Sign-In. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized use
• Ensuring the accuracy of all information you provide

4.2 Student Access

Students do not create accounts. Instead, they access the App using unique 6-digit access codes provided by their tutors. Students:

• Can only view their own data (attendance, test results, feedback)
• Cannot modify or delete any data
• Have no account credentials to maintain
• Access expires if the tutor deletes or modifies their access

4.3 Account Security

You are responsible for all activity occurring under your account. We are not liable for any loss or damage arising from your failure to maintain account security.

5. Subscription and Payments

5.1 Free vs. Premium Plans

Chalkly offers both free and premium subscription plans:

• Billing: All charges are processed through the Google Play Store.
• Subscription Period: Premium subscriptions are billed monthly, yearly, or as a one-time lifetime purchase as selected.
• Auto-Renewal: Subscriptions automatically renew unless cancelled at least 24 hours before the end of the current period.
• Cancellation: You can cancel your subscription at any time through your Google Play Store settings.
• Refunds: All purchases are final and non-refundable, except as required by applicable law.

6. User Data and Content

6.1 Ownership

You retain all ownership rights to the data and content you enter into Chalkly, including student information, attendance records, test results, and feedback.

6.2 License to Us

By using Chalkly, you grant us a worldwide, royalty-free license to host, store, and process your data solely for the purpose of providing our services to you.

6.3 Data Accuracy

You are responsible for the accuracy, quality, and legality of all data you enter into the App. We are not responsible for verifying the accuracy of any data.

6.4 Student Data

As a tutor, you represent that you have obtained all necessary consents from parents or legal guardians before entering student data into Chalkly. You are responsible for complying with all applicable laws regarding student data privacy.

7. Acceptable Use Policy

You agree not to use Chalkly to:

8. Intellectual Property Rights

8.1 Our IP

The Chalkly app, including its code, design, logo, and all related materials, is owned by us and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of our App without our written permission.

8.2 User Feedback

If you provide us with suggestions, ideas, or feedback about Chalkly, you grant us the right to use that feedback without compensation to you.

10. Termination

10.1 By You

You may stop using Chalkly at any time. To delete your account and data, follow the instructions in our Privacy Policy or use the in-app deletion feature.

• Your use poses a security risk to us or others
• We are required to do so by law
• You fail to pay applicable fees

10.3 Effect of Termination

Upon termination, your right to use Chalkly immediately ceases. We may delete your data in accordance with our Privacy Policy, except where retention is required by law.

11. Disclaimer of Warranties

CHALLLY IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING:

• Implied warranties of merchantability, fitness for a particular purpose, and non-infringement
• That the App will meet your requirements or be available at any particular time
• That the App will be error-free, secure, or free from viruses
• That any data you store will be accurate or reliable

No advice or information obtained from us or through the App creates any warranty not expressly stated in these Terms.

12. Limitation of Liability

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Personal injury or property damage related to your use of the App
• Any unauthorized access to or use of our servers or data
• Any interruption or cessation of transmission to or from the App

Our total liability to you shall not exceed the amount you paid us (if any) during the 12 months preceding the claim.

You agree to indemnify and hold harmless Chalkly, its officers, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use of the App
• Your violation of these Terms
• Your violation of any third-party rights, including privacy rights
• Any content you submit or share through the App

14. Changes to These Terms

We may update these Terms from time to time. When we do, we will:

• Update the "Last Updated" date at the top
• Notify you through the App for significant changes

Your continued use of Chalkly after changes constitutes your acceptance of the revised Terms.

15. Governing Law

• Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
• Waiver: Our failure to enforce any right or provision does not waive that right.
• Assignment: You may not assign or transfer these Terms without our written consent. We may assign these Terms without restriction.
• No Third-Party Beneficiaries: These Terms do not create any third-party beneficiary rights.
